Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Omni Dental Service LLC ("Company," "we," "us," or "our") governing your access to and use of DentiQ, available at dentiqusa.com (the "Service").
By creating an account, inviting team members, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
DentiQ is a cloud-based practice management platform that enables dental practice owners and staff to generate and track daily operational task lists, monitor team accountability, and review performance reports. The Service is provided on a subscription basis and is intended solely for lawful business use by dental practices.
3. Accounts and Responsibilities
To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
Practice owners ("Owners") who invite managers or team members are responsible for ensuring that all users within their organization comply with these Terms. You must notify us immediately at info@dentiqusa.com if you suspect unauthorized access to your account.
4. Subscriptions and Billing
- The Service is offered on a monthly subscription basis, billed per location, through Stripe, Inc.
- New accounts receive a 14-day free trial. After the trial period, your payment method will be charged automatically at the then-current rate unless you cancel before the trial ends.
- Subscriptions automatically renew each month unless cancelled. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period; no prorated refunds are issued for unused time.
- We reserve the right to change subscription pricing with at least 30 days' prior written notice to your registered email address. Continued use of the Service after the price change takes effect constitutes acceptance of the new price.
- If a payment fails, we will notify you and provide a grace period to update your billing information. We reserve the right to suspend access for accounts with outstanding balances.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Upload, transmit, or distribute malicious code, viruses, or harmful content;
- Attempt to gain unauthorized access to any account, system, or network;
- Reverse-engineer, decompile, disassemble, or copy any part of the Service;
- Scrape, crawl, or systematically extract data from the Service;
- Use the Service to store, transmit, or process patient Protected Health Information (PHI) without first obtaining a written Business Associate Agreement from us; or
- Engage in any conduct that disrupts, interferes with, or places unreasonable load on the Service or its infrastructure.
We reserve the right to investigate and, at our sole discretion, suspend or terminate accounts engaged in violations of this section without prior notice.
6. Intellectual Property
The Service, including all software, design elements, content, trademarks, logos, and service marks, is owned by or licensed to Omni Dental Service LLC and is protected by applicable intellectual property laws.
These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal dental practice operations. No other rights are granted. You may not sublicense, resell, or use the Service to build a competing product.
7. Your Data
You retain full ownership of the operational data you input into DentiQ, including task configurations, completion records, and team information. You grant us a limited, non-exclusive license to store, process, and display that data solely as necessary to operate and provide the Service to you.
We do not sell your data, share it for commercial purposes, or use it to train artificial intelligence models. Upon account termination, your data is retained for 30 days and then permanently deleted, in accordance with our Privacy Policy.
8. Termination
Either party may terminate this agreement at any time. You may do so by cancelling your subscription and ceasing use of the Service. We may suspend or terminate your access immediately, without prior notice, if you materially breach these Terms, fail to pay applicable fees, or engage in conduct that we reasonably determine is harmful to the Service, other users, or the Company.
Upon termination, your right to use the Service ceases immediately. Sections 6, 7, 9, 10, 11, and 12 of these Terms survive termination.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, uninterrupted, secure, or meet your specific requirements. You use the Service at your own risk.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Omni Dental Service LLC, its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of or inability to use the Service, even if advised of the possibility of such damages. Our total cumulative liability to you for any claims under these Terms shall not exceed the fees actually paid by you to us in the three calendar months immediately preceding the event giving rise to the claim.
11. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the state in which Omni Dental Service LLC is registered, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall first be submitted to good-faith informal negotiation by contacting us at info@dentiqusa.com. If the dispute is not resolved within 30 days, it shall be finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Judgment on the award may be entered in any court having jurisdiction. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.
You agree that any claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative action.
12. General Provisions
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements.
Modifications. We may update these Terms from time to time. We will notify registered users by email of material changes at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance.
Severability. If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.
No Waiver. Our failure to enforce any provision of these Terms shall not be deemed a waiver of our right to enforce it in the future.
